1. Acceptance of Terms
By accessing or using the Querytail platform, services, or website (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity. If you do not agree to these Terms, do not use the Services.
2. Description of Services
Querytail provides a SaaS platform comprising: Catalog Intelligence: Ingestion, automatic AI enrichment (Auto-Enrichment) with merchant validation, semantic structuring in the form of Agent Cards, and distribution to large language models and third-party AI agents, ChatGPT, Gemini, Perplexity, via Generative Engine Optimization (GEO). Agentic Client Advisor: An AI-powered conversational commerce agent deployed on the merchant's website, providing pre-purchase guidance, personalized product recommendations, and integrated in-chat checkout. Each Client Advisor response is verified in real-time against the merchant's ERP/PIM data via the Trust Layer (deterministic verification). The Client Advisor operates within the Brand Voice and Semantic Guardrails configured by the merchant. Merchant Console: A dashboard providing analytics, catalog management, Auto-Enrichment module (gap detection, AI-proposed corrections, approval/rejection), conversation logs, unanswered question management, Buyer Intelligence and Market Intelligence insights (missed opportunities, detected trends), and Brand Voice/Semantic Guardrails configuration. The specific features available to you depend on your subscription plan.
3. Account Registration & Security
To use the Services, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. Querytail is not liable for any loss arising from your failure to protect your account credentials.
4. Merchant Obligations
As a merchant using the Services, you represent and warrant that: (a) All catalog data you provide is accurate, up-to-date, and does not infringe any third-party intellectual property rights; (b) You comply with all applicable laws, including product safety regulations, consumer protection laws, advertising standards, and privacy regulations; (c) You are solely responsible for the configuration of Brand Voice and Semantic Guardrails within the Client Advisor, and assume responsibility for the content generated by the Client Advisor resulting from this configuration; (d) You maintain valid agreements with your payment service providers (Stripe, Adyen, or others) for processing customer transactions; (e) You are and remain the Merchant-of-Record for all transactions processed through the Client Advisor; (f) You validate or reject in a timely manner the catalog corrections proposed by the Auto-Enrichment module, Querytail never modifies a catalog without your explicit approval; and (g) You maintain operational read access to your ERP/PIM systems to enable the Trust Layer to function (real-time verification of prices, inventory, and specifications).
5. Fees & Payment
Platform Fee: A monthly subscription fee covers the full platform infrastructure, including catalog ingestion, enrichment, transformation, distribution to LLMs, and access to the Merchant Console. The specific fee depends on your plan tier. Success Fee: A performance-based fee is applied as a percentage of Assisted Net Revenue. An order qualifies as assisted only if the Agentic Client Advisor added an item to cart and checkout completed within seven (7) days. A permanent always-on holdout (a configurable percentage of traffic that never sees the Advisor) proves incremental value but is never used as the billing meter. The holdout exists to demonstrate impact, not to determine what is billed. Billing: Fees are billed monthly in arrears. Payment is due within 30 days of invoice date. Late payments accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. Querytail reserves the right to suspend access to the Services for accounts with payments overdue by more than 15 days.
6. Intellectual Property
Merchant Content: You retain full ownership of your catalog data, customer data, brand assets, Brand Voice configurations, and all content you upload to the platform. You grant to Querytail a limited, non-exclusive license to use this content solely to provide the Services. Querytail Platform: Querytail retains all right, title, and interest in the platform, including its software, algorithms, enrichment models, Agent Card format and structure (including their semantic structuring and cryptographic signature), user interface, and documentation. The catalog content embedded within Agent Cards remains the property of the merchant; the enriched format and Agent Card structure are Querytail intellectual property. Aggregated Data and Query Lake: Querytail may use aggregated, anonymized data, including anonymized conversational data from the Query Lake, to improve the platform and generate market insights (Buyer Intelligence, Market Intelligence). Such aggregated and anonymized insights are Querytail intellectual property.
7. Data Processing
Data processing is governed by our Privacy Policy, which is incorporated by reference into these Terms. For end-user data processed through the Client Advisor, Querytail acts as a Data Processor (as defined under GDPR) on behalf of the merchant, who acts as the Data Controller. The parties shall enter into a Data Processing Agreement (DPA) as required under applicable data protection laws. The merchant retains exclusive control over the distribution of its catalog data to third-party AI agents: the merchant decides whether, to which LLMs, and to what extent its data is distributed via the GEO feature.
8. Service Level & Availability
Querytail targets 99.9% uptime for the Client Advisor and the Merchant Console, measured on a monthly basis, excluding planned maintenance windows (announced with at least 48 hours' notice). In the event of downtime exceeding the target, merchants may be eligible for service credits as described in the applicable Service Level Agreement provided with your subscription. The SLA does not cover unavailability caused by third-party providers (LLM providers, payment processors, cloud infrastructure providers) or interruptions resulting from a failure of the merchant's ERP/PIM connection.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUERYTAIL'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO QUERYTAIL DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL QUERYTAIL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF WHETHER QUERYTAIL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. Indemnification
You agree to indemnify, defend, and hold harmless Querytail and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; (d) the content, accuracy, or legality of your catalog data and product claims; or (e) content generated by the Client Advisor resulting from the configuration of Brand Voice, Semantic Guardrails, or responses to unanswered questions that you have provided.
11. Term & Termination
These Terms are effective upon your first access to the Services and continue until terminated. Either party may terminate these Terms with 30 days' written notice to the other party. Querytail may suspend or terminate your access immediately upon material breach of these Terms. Upon termination: (a) your access to the Services will cease; (b) Querytail will provide an export of your catalog data in a standard format (JSON, CSV) within 30 days of termination, Agent Cards, whose format is Querytail intellectual property, are not included in the export; (c) Querytail will cease distribution of your catalog to third-party AI agents and request the withdrawal of your data from the relevant LLM providers; (d) all data associated with your account will be permanently deleted within 30 days after export (or 30 days after termination if no export is requested); and (e) you remain responsible for all fees incurred prior to termination.
12. Governing Law
If you are located in the European Union or the European Economic Area, these Terms are governed by the laws of the French Republic, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms shall be submitted to the exclusive jurisdiction of the courts of Paris, France.If you are located outside the European Union and the European Economic Area, these Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms shall be submitted to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, United States.
13. Modifications to Terms
Querytail reserves the right to modify these Terms at any time. We will notify you of material changes via email and/or in-platform notice at least 30 days before the changes take effect. Your continued use of the Services after the effective date of revised Terms constitutes acceptance of the revised Terms.
